These Terms & Conditions (“Terms”) govern your use of techbabal.com and your engagement with Tech Babal’s services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree, please do not use our website or services.

Definitions

In these Terms, the following definitions apply:

  • “Tech Babal” refers to Tech Babal, a digital marketing agency founded by Nitesh Baidya and Sachin Karki, operating from Kathmandu, Nepal
  • “Client” refers to any individual, company, or organization that engages Tech Babal for services
  • “Services” refers to all digital marketing, SEO, social media, branding, graphic design, and web development services offered by Tech Babal
  • “Website” refers to techbabal.com and all associated pages
  • “Agreement” refers to the proposal, scope of work, or service contract agreed between Tech Babal and the Client

Services & Scope of Work

TechBabal provides digital marketing services as described in each individual proposal or service agreement. The specific deliverables, timelines, and pricing for each engagement are defined in a written proposal that must be accepted before work begins.

  • All work is performed according to the agreed scope. Changes to scope require a written change order and may affect timeline and pricing.
  • We reserve the right to subcontract elements of work to qualified third parties while maintaining full responsibility for deliverable quality.
  • Tech Babal does not guarantee specific business outcomes but commits to industry-best practices and transparent reporting.

Payment Terms

Payment terms are governed by the specific agreement for each project. Standard terms include the following:

  • Project-based work: 50% deposit required before work commences; remaining 50% due upon delivery
  • Monthly retainers: invoiced at the beginning of each month, payable within 7 business days
  • Late payments: overdue invoices accrue interest at 2% per month after a 14-day grace period
  • Non-payment: Tech Babal reserves the right to suspend or terminate services for overdue accounts
  • All prices are quoted in Nepali Rupees (NPR) unless otherwise agreed in writing

Work will not begin on any project until the initial deposit has been received and cleared. Delivery of final files may be withheld until all outstanding balances are settled.

Intellectual Property

Ownership of Deliverables

Upon full payment of all fees, the Client receives full ownership of the final agreed deliverables (logos, website designs, written content, etc.) created specifically for their project. This transfer of ownership does not include:

  • Third-party licensed assets (stock photos, icon libraries, fonts)—the Client inherits only the specific license purchased
  • Tech Babal’s internal tools, templates, frameworks, and proprietary processes
  • Any deliverables not included in the agreed scope of work

Portfolio Rights

Tech Babal reserves the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests confidentiality in writing prior to project completion.

Confidentiality

Both parties agree to treat all non-public information shared during the engagement as confidential. Tech Babal will not disclose your business strategies, financial data, or commercially sensitive information to any third party except as required by law or as needed to deliver the agreed-upon services. This obligation survives the termination of the engagement.

Revisions & Approvals

Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond the agreed number will be quoted and invoiced separately. The Client is responsible for reviewing and approving deliverables within the agreed timeline. Delays in client approval that impact the project timeline are the client’s responsibility.

Termination

Either party may terminate a service agreement by providing 30 days’ written notice. Upon termination:

  • The Client is responsible for payment of all work completed to the date of termination
  • Tech Babal will deliver all completed files and materials that have been paid for
  • Tech Babal reserves the right to terminate immediately in cases of non-payment, abusive conduct, or requests to undertake illegal or unethical work

Limitation of Liability

Tech Babal’s total liability to the client for any claim arising from our services shall not exceed the total fees paid in the 3 months prior to the claim. Tech Babal is not liable for the following:

  • Indirect, consequential, or incidental damages
  • Loss of profits or business opportunities
  • Third-party platform changes (Google algorithm updates, social media policy changes, etc.) that affect campaign performance
  • Delays caused by the Client’s failure to provide required materials or approvals on time

Warranties & Representations

The client warrants that they have the legal right to use all materials, trademarks, and content provided to Tech Babal for use in their project. The Client indemnifies Tech Babal against any third-party claims arising from the use of client-supplied materials. Tech Babal warrants that our services will be performed with reasonable skill and care.

Governing Law

These Terms are governed by the laws of Nepal. Any disputes arising from these Terms or from the services provided shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Kathmandu, Nepal.

Changes to These Terms

Tech Babal reserves the right to update these Terms at any time. Continued use of our services or website after changes are published constitutes acceptance of the updated Terms. We will notify active clients of material changes via email.
